These Terms and Conditions ("Terms") govern your access to and use of the SyncGrid website and services, including any AI business systems, AI agents, automation workflows, content, features, applications, or products offered on or through our platform (collectively, the "Services"). The Services are provided by SyncGrid LLC, a Texas limited liability company ("SyncGrid," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

Account Registration

To access certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

Services Overview

SyncGrid provides AI business systems and AI-powered automation services, including but not limited to:

• SyncGrid Scale — our flagship AI business command center: customer acquisition, follow-up, CRM, content, and business operations for founders and small businesses
• SyncGrid Studio — AI-powered content creation, video production, and multi-platform publishing
• SyncGrid Logic — professional prompt engineering and AI orchestration IDE
• Industry-specific business systems and custom AI development and deployment
• Google Workspace automation, business process automation, and integration services

The specific services available to you may depend on your subscription plan or service agreement.

Subscription and Payments

Some of our Services require a paid subscription. By purchasing a subscription, you agree to pay the specified fees. All fees are in US dollars. We use Stripe as our payment processor; your payment information is subject to Stripe's privacy policy and terms of service.

Cancellation Policy

You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of your current billing period, after which it will not renew. You will retain access to all paid features and any remaining credits until that period ends.

Refund Policy

All subscription payments are non-refundable. We do not offer prorated refunds for unused time within a billing cycle. Cancellation stops future billing but does not refund payments already made for the current cycle.

Intellectual Property

Our Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, and software) are owned by SyncGrid or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may use our Services for your personal or business purposes in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our materials without our express written consent.

User Content and Data

You retain ownership of any content and data you submit to our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content solely in connection with providing and improving our Services.

You represent and warrant that your User Content does not violate any third-party rights, including intellectual property rights and privacy rights, and complies with all applicable laws and these Terms.

Prohibited Uses

You agree not to use our Services:

• In any way that violates any applicable law or regulation
• To transmit or procure the sending of any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate us, our employees, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of our Services
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of our Services
• To use our Services for any harmful, fraudulent, or illegal purpose
• To upload, generate, store, or transmit content that is sexually explicit or pornographic, or that is hateful, harassing, or defamatory

Zero tolerance — child sexual abuse material (CSAM). Child sexual abuse material and any content that depicts, promotes, or facilitates the sexual exploitation or abuse of minors is strictly prohibited on our platforms. You are solely responsible for your content and conduct and agree not to use our Services for any such purpose. We do not monitor or pre-screen user content and are not responsible for content created or actions taken by users. We reserve the right, but assume no obligation, to remove such content, suspend or terminate the account, and report it to the appropriate authorities where we become aware of it or are required by law to do so.

SMS Terms of Service

Businesses using SyncGrid may send SMS text messages to their own clients for

customer care and relationship follow-up — for example appointment reminders,

annual review scheduling, birthday greetings, and replies to client inquiries.

By providing express consent to a participating business, you agree to receive

such messages from that business at the phone number you provided. Consent is

not a condition of any purchase.

• Message frequency varies based on your relationship with the business.
• Message and data rates may apply, depending on your mobile carrier plan.
• Reply STOP at any time to cancel and stop receiving messages.

• Carriers are not liable for delayed or undelivered messages.
• Text messaging opt-in data and consent are never shared with or sold to third parties.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

Limitation of Liability

To the fullest extent permitted by law, in no event will we be liable for any indirect, special, incidental, consequential, or punitive damages arising out of or relating to your use of or inability to use our services.

Our total liability for all claims related to these terms or our services will not exceed the amount you paid to us for the services giving rise to the claim during the 12 months preceding the event giving rise to the liability.

Indemnification

You agree to defend, indemnify, and hold us harmless from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or our Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Texas. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. If a revision is material, we will provide notice prior to the new terms taking effect. By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised Terms.
